These Terms of Service (the “Agreement”) are established between Valens DataLabs Pvt Ltd, operating as CoderScout.io (“CoderScout.io”), and you, the individual or entity accessing and using the services offered by CoderScout.io (the “User”). This Agreement governs your use of our platform, including all its features, functionalities, user accounts, and technical support (collectively, the “Services”). The Services are available to both paying and non-paying users. By accessing or using the Services, you agree to be bound by the terms of this Agreement. If you disagree with any part of this Agreement, you may not access or use the Services.
1. Intellectual Property
The CoderScout.io website and its entire content (“the Site”) are protected by intellectual property laws. You may not copy, reproduce, upload, display, transmit, distribute, or create derivative works from the Site content without prior written permission from CoderScout.io. However, CoderScout.io grants you a limited, non-transferable, and non-exclusive right to access and view the web pages within the Site, provided that the content remains unmodified and all copyright and other proprietary notices are maintained. Content on this site with its own license terms will be governed by those terms.
Failure to comply with this Agreement will result in the termination of your access to the Services without prior notice. Upon termination, you must immediately delete any downloaded content from the Services. CoderScout.io does not grant any other express or implied licenses or rights under intellectual property laws. You may not mirror the content of the Site on any other platform.
2. Disclaimer
CoderScout.io does not guarantee the accuracy, completeness, or timeliness of the information provided on the Site. The Site may contain technical or typographical errors. CoderScout.io assumes no responsibility for updating the Site or ensuring the accuracy of the information posted. You should always verify information before making any decisions based on the Services.
3. User Data
You grant CoderScout.io a non-exclusive, transferable, worldwide, perpetual, royalty-free, sublicensable right to use, reproduce, display, and distribute any data you own or make available to CoderScout.io while using the Services (“User Data”). This allows CoderScout.io to fulfill its obligations under this Agreement and for business purposes, such as research and development.
4. Usage Information
CoderScout.io may collect data related to your use of the Services. This data remains the exclusive property of CoderScout.io and is separate from User Data. CoderScout.io has the right to use and disclose this data without restriction.
5. Additional Terms
The Services may include features or functionalities governed by additional terms and conditions. Your use of those features signifies your agreement to such additional terms.
6. Termination
CoderScout.io may suspend or terminate your access to the Services for any reason, at any time, without notice. You may also terminate your access to the Services at any time.
7. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
8. Entire Agreement
This Agreement constitutes the entire agreement between you and CoderScout.io regarding your use of the Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
9. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
10. Waiver
No waiver of any breach of this Agreement shall constitute a waiver of any other breach.

Dispute Resolution
All disputes, controversies, or claims arising from or in relation to this Agreement, or its interpretation, breach, termination, or validity, shall be resolved exclusively through binding arbitration. Such a demand for arbitration must be raised within a reasonable period after the dispute arises, but no later than one year from when the aggrieved party became aware or should have known of the underlying cause of the dispute.
The arbitration process shall be initiated and conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. Arbitration shall take place in Ahmedabad, Gujarat before a single arbitrator chosen in line with the aforementioned Act. Where the disputed amount is less than INR 7,00,000, the dispute may be resolved based on written submissions without an oral hearing.
The arbitrator’s decision shall be final, binding, and conclusive. The arbitrator shall not be empowered to award exemplary or punitive damages. Each party shall bear its own legal expenses, but the arbitrator may, in compliance with applicable laws, allocate such expenses between the parties as deemed just. Arbitrations shall be conducted on an individual basis and not in a class or representative capacity.
By using CoderScout.io, both parties irrevocably waive any rights they may have to combine claims with those of others in any class or representative mechanism and to present their claim before a court or a jury. The award by the arbitrator may be enforced in any competent court.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, without giving effect to principles of conflict of laws. Except for the aforementioned arbitration clause, any legal actions, suits, or proceedings arising from this Agreement will be brought exclusively in courts located in Ahmedabad, Gujarat, and the parties consent to the jurisdiction of such courts.
Export Laws and International Privacy
Users commit to strictly adhering to all relevant export laws and regulations, including those of India. The use of CoderScout.io for processing the personal data of individuals outside of India is strictly prohibited unless permitted under the applicable laws.
Severability and Survivability
Should any provision of this Agreement be held illegal, void, or unenforceable by a competent court, the remaining provisions shall remain in effect. Provisions inherently expected to remain in force after termination shall survive the end of this Agreement.
Waiver
No waiver of any provision shall be considered valid unless in writing and signed by the party granting the waiver. Any waiver by either party of any breach or default by the other party does not imply a waiver of any subsequent breach or default.
Miscellaneous
Both parties attest that they possess the legal authority to enter into this Agreement. Except for any obligations relating to payment by the user, if unforeseeable circumstances (e.g., acts of nature, epidemics, wars, governmental restrictions) hinder either party from fulfilling its obligations under this Agreement, such obligations will be paused for the duration of the event. Any ambiguities in the Agreement will not be interpreted against CoderScout.io. CoderScout.io reserves the right to assign its rights or obligations under this Agreement without prior notification. Users shall not assign their rights or obligations under this Agreement without obtaining prior written consent from CoderScout.io.
